1. Acceptance of Terms
By accessing or using YouClockIn ("the Platform"), YouClockIn is a workforce management service operated by PrimeFlax Ltd, you agree to be bound by these Terms of Use and our Privacy Policy. If you disagree with any part of these terms, you may not access the Platform.
2. Definitions
- "Platform" refers to YouClockIn's workforce management software and services
- "Customer" refers to the business or organization that subscribes to our services
- "User" refers to any individual who accesses the Platform
- "Employee" refers to workers whose data is managed through the Platform

3. Account Registration

You must be at least 18 years old and have the legal authority to bind your organization to these terms.

- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your employees comply with these terms

4. Services and Features
YouClockIn provides workforce management services including:
- Time and attendance tracking
- Employee scheduling
- Payroll processing integration
- Reporting and analytics
- Mobile access for employees
- Manager approval workflows
We reserve the right to modify, suspend, or discontinue any feature at any time.
5. Subscription and Payment
5.1 Fees
Subscription fees are based on your selected plan and number of active employees. All fees are exclusive of taxes.
5.2 Billing Cycle
Fees are billed monthly or annually in advance. You authorize us to charge your payment method automatically.
5.3 Price Changes
We may change subscription fees with 30 days' notice. Continued use after price changes constitutes acceptance.
5.4 Refunds
Subscription fees are non-refundable except as required by law or specified in your plan.
6. User Responsibilities
6.1 Compliance with Laws
You agree to use the Platform in compliance with all applicable laws, including employment, labor, and data protection regulations.
6.2 Employee Consent
You are responsible for obtaining necessary consents from employees for data collection and processing.
6.3 Acceptable Use
You agree not to:
- Use the Platform for any illegal purpose
- Upload malicious code or attempt to compromise system security
- Share accounts among multiple users without appropriate licensing
- Use the Platform to harass, discriminate, or violate employee rights
- Reverse engineer, decompile, or disassemble the Platform
7. Intellectual Property
7.1 Our Rights
YouClockIn owns all intellectual property rights in the Platform, including software, designs, trademarks, and documentation.
7.2 Your Content
You retain ownership of all data and content you upload to the Platform. You grant us a license to use this data to provide the services.
7.3 Feedback
Any feedback, suggestions, or ideas you provide may be used by us without compensation or obligation.
8. Data Protection and Privacy
We handle personal data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for:
- Ensuring you have legal basis for processing employee data
- Responding to employee data subject requests
- Maintaining appropriate data protection measures
- Notifying us of any data breaches involving your account
9. Confidentiality
Both parties agree to protect confidential information received from the other party. Confidential information includes:
- Business strategies and financial information
- Technical architecture and security measures
- Employee and customer data
- Pricing and business terms
10. Termination
10.1 By You
You may cancel your subscription at any time through your account settings. No refunds will be provided for partial months.
10.2 By Us
We may suspend or terminate your account for:
- Non-payment of fees
- Violation of these terms
- Illegal or fraudulent activity
- Extended periods of inactivity
10.3 Effect of Termination
Upon termination:
- Your access to the Platform will be disabled
- We will retain your data for 30 days for export
- After 30 days, data may be permanently deleted
- You remain liable for any unpaid fees
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT:
- THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE
- THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS
- ALL ERRORS WILL BE CORRECTED
- THE PLATFORM IS FREE FROM VIRUSES OR HARMFUL COMPONENTS
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUCLOCKIN SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- LOST PROFITS OR REVENUE
- DATA LOSS OR CORRUPTION
- BUSINESS INTERRUPTION
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless YouClockIn from any claims, damages, or expenses arising from:
- Your use of the Platform
- Your violation of these terms
- Your infringement of any third-party rights
- Your non-compliance with applicable laws
14. Governing Law and Dispute Resolution
